Group legal
The Group Legal team comprises of 10 lawyers. The function is principally responsible for ensuring that, from a legal and regulatory perspective, the company. can effectively perform its role as the regulated and listed holding company of the group. Thereto it supports the Executive Board as well as the Supervisory Board in fulfilling their responsibilities. In order to ensure that the group as a whole adds more value than businesses do stand-alone, the Group Legal function is also responsible for ensuring that the legal function globally operates within a clearly defined framework that meets the requirements laid down in a Global Legal Charter. On a day to day basis, Group Legal is involved in, among others, the following aspects of the business: reporting, general meeting of shareholders, stock exchange requirements, corporate housekeeping, corporate governance (including remuneration), strategy, arbitration/litigation management, mergers & acquisitions, treasury activities, contracts and intellectual property.
Role
You will advise on a wide variety of legal issues, with a focus on general corporate law: e.g. corporate housekeeping, governance, Annual Report, Annual General Meeting of Shareholders, capital contributions and dividend payments, restructurings, letters of support. The role entails working in a regulated and international environment, in close co-operation with colleagues from other functions at the Corporate Center as well as locally in Asia, Europe and the US. You will be part of an experienced team and report to the Head of Legal.
Profile
approximately 3 years of relevant experience gained in private practice or international business;
experience as a corporate lawyer (inhouse or otherwise) or candidate civil law notary;
proactive, talented and internationally-minded lawyer;
a business-oriented mind-set with a keen interest in good governance strong personality;
good communication skills and hands-on approach with attention for detail.
